Age and eligibility

You must be of an age at which you can enter into a binding contract in your jurisdiction in order to use the Services.

Scope of licence

Subject to your compliance with these Terms and your payment obligations, TWMD grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Services and the data according to your plan entitlement. Except as a dataset’s own licence permits, you may not resell, sublicense or redistribute the data; where you reuse data under an open licence, attribution must be given as that licence requires.

Plans, fees and billing

The Services are offered in plans, and the quota, rate limits and features of each plan are as set out on the Pricing page. Unless otherwise agreed, fees are exclusive of taxes; late or failed payment may result in access being restricted or suspended.

Your account and API keys

You must keep your account information accurate and keep your API keys secure. Keys are held in your own environment, and you are responsible for access arising from your failure to keep them secure. You must not share keys with unauthorised third parties in order to circumvent plan limits.

Acceptable use

Your use of the Services is subject to the Acceptable Use Policy, which is incorporated into these Terms. A breach of that policy is a material breach of these Terms.

Nature of the data and disclaimer (important)

The data provided through the Services originates in official public disclosures and is organised, standardised and quality-marked by us. TWMD uses reasonable efforts to ensure the accuracy and timeliness of the data, but:

• The data is provided “as is” and does not constitute investment, legal, tax or accounting advice; you are responsible for any decision you make on the basis of it.
• We do not warrant that the data is free of errors, interruptions or delays; errors, changes or delays in the upstream official sources may be reflected in it. Known data gaps and coverage limits are marked as they are, not filled with estimates.

Disclaimer of warranties

To the fullest extent permitted by applicable law, the Services and the data are provided “as is” and “as available”, and TWMD makes no warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Limitation of liability

To the fullest extent permitted by applicable law, TWMD is not liable for any indirect, incidental, special, punitive or consequential damages; and TWMD’s total aggregate liability arising out of these Terms is limited to the amount you actually paid TWMD for the Services in the twelve months preceding the claim.

Indemnity

To the extent permitted by applicable law, you agree to defend and indemnify TWMD against third-party claims arising from your breach of these Terms or of the Acceptable Use Policy, or from your redistribution of data beyond a dataset’s licence.

Confidentiality and intellectual property

Intellectual property rights in the Services’ software, interfaces, documentation and derived work that does not originate in public official disclosure — such as our own standardised structures, quality markings and proof mechanisms — belong to TWMD or its licensors. We may use, without charge, any feedback you give us about your use of the Services. Rights in the data itself follow its respective sources and licences.

Term and termination

Either party may terminate as provided in these Terms. TWMD may suspend or terminate your access if you breach these Terms or fail to pay fees when due. On termination the licence ends and you must stop using the Services; provisions that by their nature should survive — disclaimers, limitation of liability, indemnity and confidentiality — continue in effect after termination.

Changes

We may update these Terms from time to time. The updated version is published at /legal and takes effect when posted; we will give appropriate notice of material changes. Your continued use of the Services after a change constitutes acceptance of it.

Governing law and dispute resolution

These Terms are construed and applied under the laws of the Republic of China (Taiwan), and the courts of competent jurisdiction in the Republic of China shall have jurisdiction.
